ACKNOWLEDGMENT AND ACCEPTANCE OF AGREEMENT The Dr. Tutt Lectures in written and audio form, provided by copyright owner, is provided to you ("User") under the terms and conditions of this End-User Agreement, and any amendments thereto and any operating rules or policies that may be published from time to time by Owner and Partner, all of which are hereby incorporated by reference. The End-User Agreement comprises the entire agreement between User and Owner and supersedes any prior agreements pertaining to the subject matter contained herein. MODIFICATIONS TO AGREEMENT / SERVICE Owner may change the End-User Agreement from time to time without prior notification to the user. Owner reserves the right to modify or discontinue, temporarily or permanently, the Service with or without notice to User. User agrees that Owner shall not be liable to User or any third-party for any modification or discontinuance of the Service. IV. INDEMNITY User agrees to indemnify and hold Owner and its parents, subsidiaries, affiliates, directors, officers, employees, agents, contractors and licensors harmless from any claim or demand, including reasonable attorneys' fees, made by any third party due to or arising out of User's use of the Service, User's connection to the Service, User's violation of the End-User Agreement, or User's violation of any rights of another. V. DISCLAIMER OF WARRANTIES a. USER EXPRESSLY AGREES THAT USE OF THE SERVICE IS AT USER'S SOLE RISK. THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. OWNER DOES NOT REPRESENT OR GUARANTEE THAT THE SERVICE WILL BE FREE FROM LOSS, CORRUPTION, ATTACK, VIRUSES, INTERFERENCE, HACKING OR OTHER SECURITY INTRUSION, AND OWNER DISCLAIMS ANY LIABILITY RELATING THERETO. YOU SHALL BE RESPONSIBLE FOR BACKING UP YOUR OWN SYSTEM. b. VI. INTELLECTUAL PROPERTY a. You understand that the Service, and products provided through the Service, including, but not limited to sound recordings and audiovisual works ("Products"), are protected by Copyright, Trademark and other intellectual property law and limit your usage of Products to certain usage rules established by Owner ("Usage Rules"). You agree to comply with such Usage Rules, as further outlined below, and you agree not to violate or attempt to violate any security components. You agree not to attempt to, or assist another person to, circumvent, reverse-engineer, decompile, disassemble, or otherwise tamper with any of the security components related to such Usage Rules for any reason whatsoever. Usage Rules may be controlled and monitored by Owner for compliance purposes, and Owner reserves the right to enforce the Usage Rules with or without notice to you. You agree not to modify the website in any manner or form, for any purposes including obtaining unauthorized access to the Service. Violations of system or network security may result in civil or criminal liability. b. Trademarks. The End-User Agreement and the relationship between User and Owner and shall be governed by the laws of the State of Texas without regard to its conflict of law provisions. User and Owner agree to submit to the personal and exclusive jurisdiction of the courts located within the county of Lubbock in the state of Texas. b. The failure of Owner to exercise or enforce any right or provision of the End-User Agreement shall not constitute a waiver of such right or provision. If any provision of the End-User Agreement is found by a court of competent jurisdiction to be invalid, the parties nevertheless agree that the court should endeavor to give effect to the parties' intentions as reflected in the provision, and the other provisions of the End-User Agreement remain in full force and effect. c. The Owner may provide notices of changes to the End-User Agreement or other matters by displaying notices to Users generally on the website. d. User agrees that regardless of any statute or law to the contrary, any claim or cause of action arising out of or related to use of the Service or the End-User Agreement must be filed within one (1) year after such claim or cause of action arose or be forever barred. e. The section titles in the End-User Agreement are for convenience only and have no legal or contractual effect. IX. ENTIRE AGREEMENT These terms of service constitute the entire agreement between you and Owner and govern your use of the Service, superseding any prior agreements between you and Owner.
